📍 What is the registered seat?
The registered seat is the official address listed in the court register, used for business records and official service of documents. Any change must be duly recorded with the competent authorities.
⚖️ Where is the change filed?
First, the change is filed with the competent municipal court (registration department). Afterwards, the data is updated with: the Tax Administration; the Indirect Taxation Authority (if the company is VAT-registered); the Statistical Office; the bank and other relevant institutions.
📝 Typical documentation
For a smooth filing, companies usually prepare: a Decision on change of registered seat (by the director or the assembly, depending on the legal form); an amended Incorporation Act or Statute (if required); proof of the new address (e.g., lease agreement or land registry excerpt); completed court forms; ID of the authorised person; paid court fees and charges. In some cases, notarisation of signatures is requested.
🏛️ Moving to another canton or city
If the company relocates to another canton, the filing is submitted to the court at the new address and the registration file is transferred.
⚠️ If the change is not reported
Failure to report may result in invalid official acts, misdemeanour exposure, administrative and tax issues, and difficulties in banking and business communication.
